BANK OF THE VALLEY

April 5, 2004

Mr. Robert E. Feldman, Executive Secretary
Federal Deposit Insurance Corporation
550 17th Street, NW
Washington, DC 20429

ATTN: Comments/Executive Secretary Section Dear Mr. Feldman,

The proposed change to the privacy notices which are required under the Gramm-Leach-Bliley Act do appear to make it more understandable. Any of the changes appear to be workable. The form shown in Appendix B would seem to be more functional in that it would serve as the Bank's Policy as well as the opt out election form. A standardized form will also be more useful for customers to make comparisons.

Sincerely,

Larry E. McPhillips
President
Bank of the Valley
Bellwood, NE
