Dear Sirs,

I am submitting a comment to the CRA regulations proposal of FIL-15-2004. My business is a consulting firm for small banks in the areas of compliance and internal auditing. My clients are all "small banks" ranging in assets from $100 million to $350 million.

I am supporting the proposal to amend the "small bank" definition under CRA to mean an institution with total assets of less than $500 million, and to drop the consideration of any hold company assets.

Your consideration is this matter is greatly appreciated.
