ORDER CONDITIONALLY
MODIFYING ORDER
OF PROHIBITION FROM
FURTHER PARTICIPATION

   IT IS HEREBY ORDERED that the Order of Removal from Office and Prohibition from Further Participation ("Order"), issued against Werner E. Schreiber ("Respondent") on July 7, 1994, pursuant to delegated authority, under section 8(e) of the Federal Deposit Insurance Act, 12 U.S.C. § 1818(e), be modified to allow the Respondent to transfer to a trust, the following:
   1. Respondent's 7,556.73 shares of stock in Mountain Bank System, Inc. (representing approximately 74 percent of the total outstanding shares of stock in Mountain Bank Systems, Inc.), the one bank holding company which owns 100 percent of the total outstanding shares of stock in Mountain Bank, Whitefish, Montana, and which owns 97.5 percent of the total outstanding shares of stock in Valley Bank of Belgrade, Belgrade, Montana; and
   2. Respondent's 4,546 shares of stock in Flathead Holding Company (representing approximately 23 percent of the total outstanding shares of stock in Flathead Holding Company), the bank holding company which owns 100 percent of the total outstanding shares of Flathead Bank of Bigfork, Bigfork, Montana.
The trust shall name Marlene I. Havens, Larry W. Jochim, and Jerry James or any other person(s) as may be approved by the Federal Reserve Board and for whom the FDIC has received 10 days prior written notice of their proposed appointment to act as trustees.
   Notwithstanding the foregoing, IT IS FURTHER ORDERED that this ORDER CONDITIONALLY MODIFYING ORDER OF PROHIBITION FROM FURTHER PARTICIPATION is conditional upon the Respondent receiving the prior written approval of the Federal Reserve Board to effect the transfer of his stock in the manner described above.
   IT IS FURTHER ORDERED that the permission for transfer given in this ORDER CONDITIONALLY MODIFYING ORDER OF PROHIBITION FROM FURTHER PARTICIPATION is limited, and shall expire on December 31, 1995.
   IT IS FURTHER ORDERED, that all other provisions of the Order will remain in full force and effect.
