MODIFICATION OF THE ORDER
TO CEASE AND DESIST

   Pursuant to and in consideration of a request by the New Hampshire Savings Bank, Concord, New Hampshire ("Bank"), that CEASE AND DESIST ORDER, dated October 31, 1990 is hereby amended by deleting the language "ten (10) percent" where it appears in lines 7 & 8 of Paragraph 6, and substituting the following language in lieu thereof: "a reasonable level, adequate to meet the Bank's daily liquidity needs". Paragraph 6 is further amended by deleting the last sentence which reads as follows: "The ten (10) percent ratio is not to be construed as a standard for acceptable future performance."
   The provisions of this MODIFICATION OF THE ORDER TO CEASE AND DESIST shall be binding upon the Bank, its institution-affiliated parties, and any successors and assigns thereof.
   Except as specifically modified herein, all of the terms and conditions of the ORDER {{11-30-91 p.TC-95}} heretofore issued against the bank on October 31, 1990 shall remain in full force and effect.
   The provisions of this MODIFICATION OF THE ORDER TO CEASE AND DESIST shall remain effective and enforceable except to the extent that, and until such time as, any provisions of the MODIFICATION OF THE ORDER TO CEASE AND DESIST shall have been modified, terminated, suspended, or set aside by the FDIC.
