AMENDED ORDER OF TERMINATION OF INSURANCE
FDIC-92-360p

   Pursuant to section 8(p) of the Federal Deposit Insurance Act, 12 U.S.C. § 1818(p), the Federal Deposit Insurance Corporation ("FDIC") hereby finds that FMB-Financial Group, Holland Township, Michigan, formerly known as FMB-Financial Group, National Association, Holland Township, Michigan ("Insured Institution"), is not engaged in the business of receiving deposits, other than trust funds.
   The FDIC issued an Order of Termination of Insurance, FDIC-92-360p, dated December 31, 1992, against FMB-Financial Group, National Association, Holland Township, Michigan. The FDIC finds that the Insured Institution converted its charter from that of a National bank to that of a State nonmember bank on December 30, 1992. The FDIC therefore issues the following AMENDED ORDER OF TERMINATION OF INSURANCE ("AMENDED ORDER"):

AMENDED ORDER

   IT IS HEREBY ORDERED, that the Order of Termination of Insurance ("Order of Termination") against FMB-Financial Group, National Association, Holland Township, Michigan, FDIC-92-360p, dated December 31, 1992, is fully effective against the Insured Institution nunc pro tunc.
   IT IS FURTHER ORDERED, that the status of the Insured Institution as an insured State nonmember bank be, and hereby is, terminated at the expiration of June 30, 1993, which is the last day of the first full semiannual assessment period following the date of issuance of the Order of Termination.
   IT IS FURTHER ORDERED, that the Insured Institution notify its depositors, if any, of the termination of its insured status no later than June 14, 1993, in the manner required by section 308.124(c) of the FDIC Rules of Practice and Procedure, 12 C.F.R. § 308.124(c).
